Overview:
This position is responsible for assisting attorneys and paralegals with documents pertaining to the maintenance, financing and merger and acquisition of corporate entities, partnerships and limited liability partnerships.
Responsibilities:
• Assisting with formation, qualification and dissolution of entities.
• Preparing and managing corporate record books, stock certificates and capitalization tables.
• Preparing filings for various governmental entities and researching aspects of Texas, Delaware and federal securities laws.
• Assisting with SEC filings and drafting various corporate documents.
• Performing due diligence reviews; proofing various agreements, SEC filings, and exhibits for content and consistency.
• Managing and coordinating capital markets, private equity, venture capital and acquisition closings; and preparing audit letters, closing sets and bound volumes.
• Researching industry trends; analyzing merger and acquisition transactions, and reviewing company business profiles and press coverage of V&E transactions in the
media.
Qualifications:
• Successful candidate will be a self-starter, with the ability to work on his or her own with minimal supervision/direction.
• Must score at least 76% on the Firm’s clerical spelling test and at least 40 wpm with a 2% or less error rate on the Firm’s clerical typing test. Good English grammar skills.
• Requires flexibility in working with many different personalities in a fast-paced environment.
• Bachelor's degree preferred with one year of experience in a general office setting.
• Technical expertise in Microsoft Windows, Word, and Excel required.
Work Schedule will be Monday through Friday, 8:30 a.m. – 5:00 p.m. with availability for overtime when needed.
